1. Agreement to Terms

These Terms and Conditions (“Terms”) govern your access to and use of the SpecLode application and related services (the “Service”). By creating an account, subscribing, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

2. Eligibility & Account

You must be at least 18 years old and legally capable of entering a binding contract. You are responsible for safeguarding your login credentials and for all activities under your account.

3. Subscriptions, Free Trials & Billing

• We offer recurring subscription plans (e.g., Starter, Pro, Elite) with plan limits as displayed in the Service. Plans and prices may change.
• A free trial may be offered. Unless canceled before the trial ends, your subscription converts to a paid plan and your payment method will be charged.
• You authorize our payment processor to charge all subscription and applicable taxes until you cancel. Fees are non-refundable except as required by law.

4. Acceptable Use

• Use the Service solely for lawful business purposes related to dispatching, load calculations, and related workflows.
• No sharing, resale, sublicensing, or transfer of your subscription. No reverse engineering, scraping, or interference with the Service.

5. Vehicle Data & Third-Party Services

• The Service may integrate third-party providers (e.g., VIN/specification data such as NHTSA, VINaudit). Availability and accuracy of such data are not guaranteed.
• You acknowledge that we are not liable for decisions you make based on third-party data or for any unavailability, errors, or delays in such data.

6. Intellectual Property

The Service (including software, interfaces, text, graphics, trademarks, and logos) is owned by SpecLode and its licensors. We grant you a limited, non-exclusive, non-transferable license to use the Service during an active subscription, subject to these Terms.

7. Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including accuracy of data, fitness for a particular purpose, or uninterrupted availability.

8. Limitation of Liability

To the maximum extent permitted by law, SpecLode will not be liable for indirect, incidental, special, consequential, or punitive damages; or for loss of profits, revenue, data, or business opportunities. Our aggregate liability for any claim will not exceed the fees you paid to SpecLode in the three (3) months preceding the event giving rise to the claim.

9. Termination

We may suspend or terminate your account for any violation of these Terms or misuse of the Service. You may cancel at any time; cancellation takes effect at the end of the current billing cycle.

10. Changes to the Service or Terms

We may update the Service and these Terms from time to time. Continued use after an update constitutes acceptance of the revised Terms.

11. Governing Law & Disputes

These Terms are governed by the laws of the United States and the State of [Insert State], without regard to conflicts of law. Disputes will be resolved by binding arbitration or small-claims court where permitted.
